Terms of Use

Trading Meme Coins ("TMC") · Version 2026-07-19

1. Acceptance & Eligibility

These Terms of Use ("Terms") govern your access to and use of the TMC website, application, and trading interface (the "Interface"), operated by the TMC team ("TMC", "we", "us"). By accessing or using the Interface you agree to these Terms and to the Privacy Policy, Risk Disclaimer, DMCA Policy, Trademark Policy, and Fee schedule, each incorporated by reference. If you do not agree, do not use the Interface. You must be at least 18 and legally able to enter a binding contract, and you must not be a Restricted Person (Section 10). You make these representations each time you use the Interface.

2. Definitions

  • "Interface" — the TMC software that lets you view Solana token market data and construct, sign, and broadcast trade transactions from a wallet you control.
  • "Connected Wallet" — a self-custodial browser or hardware wallet you own (e.g., Phantom, Solflare) that you connect to the Interface.
  • "Embedded Wallet" — a self-custodial wallet provisioned for you through our infrastructure provider Turnkey, secured within a hardware-backed secure enclave (TEE) and authorized by your device passkey and email-based recovery. TMC cannot access, move, export, or recover the keys of an Embedded Wallet.
  • "Wallet" — a Connected Wallet or an Embedded Wallet.
  • "Trade" — a swap of one Solana token for another (including SOL), constructed by the Interface and authorized and signed by you.
  • "Third-Party Programs" — the on-chain programs, protocols, and aggregators to which your signed transactions are routed (e.g., the Pump bonding-curve program pre-graduation, and the Jupiter aggregator and its underlying venues post-graduation). TMC does not own, operate, or control any Third-Party Program.
  • "Fee" — the service fee described in Section 6 and the Fee schedule.

3. Nature of the Service — Non-Custodial Interface

TMC is a non-custodial software interface. TMC is not a broker, dealer, exchange, money services business, money transmitter, custodian, investment adviser, or financial institution.

TMC does not: take custody of, hold, or control your assets, private keys, seed phrases, or Wallet at any time; operate a matching engine or order book, or match trades off-chain; operate any smart contract that holds user funds, execute trades on your behalf, or act as a counterparty to any Trade — the Interface constructs transactions that you sign and that are settled by Third-Party Programs on the Solana blockchain; offer, mint, issue, or create any token, and does not endorse, vet, or guarantee any token displayed; provide any fiat on-ramp, off-ramp, or fiat payment service, and does not perform identity verification (KYC/AML).

The Interface is a tool for interacting with public, permissionless infrastructure on Solana. You are the sole party that authorizes and controls every transaction.

4. Wallets and Your Responsibility

4.1 Connected Wallet. You keep full custody of your keys; your wallet software signs locally. TMC never receives your keys.

4.2 Embedded Wallet (1-Click). Keys are generated and stored within Turnkey's secure enclave (TEE) and unlocked by your device passkey. Access and recovery use a passkey and the email you provide, through Turnkey's secure recovery flow. No seed phrase is generated or shown. TMC cannot view, export, move, or reconstruct your keys, and cannot recover access for you.

4.3 Your responsibility. You are solely responsible for the security of your Wallet, device, passkey, biometrics, and recovery email. Anyone who controls these controls your assets. Loss of your passkey and recovery email may cause permanent, irreversible loss of access to your Embedded Wallet and its assets.

4.4 No reversal. Blockchain transactions are final. TMC cannot cancel, reverse, refund, or modify any transaction once broadcast.

5. Trading Through the Interface

When you initiate a Trade, the Interface constructs a transaction from your inputs (amount, slippage, priority). You authorize and sign it, and it is broadcast to Solana and settled by Third-Party Programs. TMC does not guarantee that any transaction will confirm, will confirm at a given price, or will avoid slippage, front-running, or MEV. Prices, market caps, liquidity, and other figures are estimates from public and third-party data and may be delayed, incomplete, or inaccurate. You accept full responsibility for every transaction you sign.

6. Fees

TMC charges a service fee of 0.97% of trade volume (assessed on the SOL side of each Trade — SOL out on a sell, SOL in on a buy), plus a small fixed network-cost component on Embedded-Wallet ("1-Click") Trades. The Fee applies to every Trade the Interface routes, before and after a token's graduation to an automated market maker. The Fee is included inside the transaction you authorize and sign and is routed on-chain; it is verifiable within your own signed transaction.

The Fee applies to Trades only. Deposits, withdrawals, and transfers of your own assets are free — TMC only charges for the transactions it constructs and that you sign to trade. The complete, current terms are in the Fee schedule. TMC may change the Fee prospectively; changes apply only to Trades made after they take effect.

7. No Financial, Investment, Legal, or Tax Advice

Nothing on the Interface is, or should be construed as, financial, investment, legal, accounting, or tax advice, a recommendation, or a solicitation. TMC does not consider your objectives or circumstances. You are solely responsible for your decisions. See the Risk Disclaimer.

8. Assumption of Risk

Trading memecoins and digital assets is extremely high-risk and may result in the total loss of your assets. Risks include, without limitation: extreme volatility and illiquidity; fraud, "rug pulls," honeypots, and worthless or malicious tokens; bugs or exploits in Third-Party Programs and in the tokens you trade; front-running and MEV; network outages and congestion; and the irreversibility of on-chain transactions. You assume all of these risks. TMC does not vet, audit, or endorse any token.

9. Prohibited Uses

You agree not to use the Interface to: (a) violate any law; (b) engage in market manipulation, wash trading, or fraud; (c) launder money or finance illicit activity; (d) infringe any third party's rights; (e) transact where you are a Restricted Person; (f) attack, overload, scrape, reverse-engineer, or interfere with the Interface or its infrastructure, or bypass its rate limits or security; or (g) abuse the service with bots or automated means. We may restrict or terminate access for any violation.

10. Restricted Jurisdictions and Persons

The Interface is not offered to, and may not be used by, any person who is a resident of, located in, or a citizen of the United States, the European Union / European Economic Area, or any jurisdiction subject to comprehensive OFAC or equivalent sanctions, or who is otherwise a sanctioned or restricted person (a "Restricted Person"). By using the Interface you represent that you are not a Restricted Person. TMC does not actively verify your jurisdiction and relies on your representation. Ensuring your use is lawful where you are is your responsibility.

11. Third-Party Services and Content

The Interface depends on and links to third-party services, including the Solana blockchain, RPC and data providers, wallet software, Third-Party Programs, the TradingView charting library (see the TradingView Attribution page), and token metadata and images hosted by third parties. TMC does not control and is not responsible for any third-party service or any token, its issuer, or its content. Your use of third-party services is governed by their own terms.

12. Intellectual Property

The Interface, including its design, code, text, and the "TMC" and "Trading Meme Coins" names and logos, is owned by TMC. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Interface for its intended purpose. All other rights are reserved. Third-party marks belong to their owners; see the Trademark Policy and the TradingView Attribution page.

13. No Warranties

THE INTERFACE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or freedom from error, bugs, or security vulnerabilities. TMC does not warrant that the Interface will be uninterrupted, secure, or error-free, or that any data displayed is accurate or current.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMC AND its contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of assets, profits, data, or goodwill, arising from or related to your use of (or inability to use) the Interface, any Trade, any Third-Party Program or token, or any loss of access to your Wallet — even if advised of the possibility. To the extent liability cannot be excluded, TMC's aggregate liability is limited to the greater of the Fees you paid to TMC in the 3 months preceding the claim, or USD 100.

15. Indemnification

You agree to indemnify and hold harmless TMC and its contributors from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Interface, your Trades, your violation of these Terms or any law, or your infringement of any third party's rights.

16. Changes to the Interface and Terms

We may modify, suspend, or discontinue any part of the Interface at any time. We may update these Terms; the "Version" date reflects the latest revision, and your continued use after an update constitutes acceptance.

17. Termination

We may restrict or terminate your access at any time, with or without notice, including for any violation of these Terms or any law. Sections that by their nature should survive (including 3, 7–15, 18, 19) survive termination.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands (BVI), without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Interface will be resolved by final and binding arbitration administered in the British Virgin Islands, conducted in English by a single arbitrator. To the maximum extent permitted by law, you and TMC waive any right to a jury trial and to participate in a class action or class-wide arbitration.

19. Miscellaneous

If any provision is unenforceable, the rest remains in effect. These Terms (with the incorporated policies) are the entire agreement between you and TMC regarding the Interface. You may not assign these Terms; we may. No waiver is a continuing waiver. Nothing here creates any partnership, agency, or employment relationship.
